7. Payment Terms and Fees

If you purchase services from us, you agree to:

• Pay all fees and charges associated with your purchase in accordance with the payment terms presented

• Promptly update payment information in the event of expiration, cancellation, or changes
• Pay any applicable taxes, duties, or customs fees

We reserve the right to modify our fees and pricing at any time. Any fee changes will be communicated to you in advance and will not affect existing service agreements unless mutually agreed upon.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

While we strive to provide accurate and reliable information, we make no representations or warranties regarding the accuracy, completeness, or reliability of any content, advice, or recommendations provided through our Services. You acknowledge that any reliance on such information is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ATOMIC TECHNIUM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) our Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Atomic Technium, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any User Content you submit or transmit through our Services.

11. Termination

We reserve the right to:

• Suspend or terminate your access to our Services at any time, with or without cause or notice
• Refuse service to anyone for any reason at any time
• Remove or disable access to any content that violates these Terms

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a formal claim, you agree to first contact us and attempt to resolve any dispute informally. We'll work in good faith to resolve the matter through direct communication.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, and judgment on the award may be entered in any court having jurisdiction. The arbitration shall take place in a mutually agreed location or via remote proceedings.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Atomic Technium individually. To the fullest extent permitted by law, no arbitration or proceeding shall be joined with any other, and no class arbitration proceedings shall be permitted.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Atomic Technium is registered, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the appropriate jurisdiction, and you hereby consent to personal jurisdiction and venue therein.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

15. Severability and Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Atomic Technium.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and Atomic Technium regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral.
